The State Industrial Holdings Company (SEPI) maintain a seat on the board of the aerospace and defense consortium EADS after the new covenant between shareholders released Wednesday. The agreement will mean a major shareholder restructuring, with the departure of private shareholders, Daimler and Lagardère, and the entry of Germany, through KfW, adopting a scheme similar to that of Spain.
France, Germany and Spain have agreed to restructure their participation so that the French state will have a 12% by SOGEPA, the German, the other 12%, through KfW, Spain and 4% through SEPI, with order to comply with Dutch law on takeovers, SEPI explained in a statement.
The agreement will propose a modification of the statutes of EADS, to vote at a special meeting, which will impose the 15% stake in the company as a ceiling for any shareholder against the risk of possible hostile takeovers.

The new council will be composed of 12 members, including a Spanish director, "reflecting the balance between European nations where EADS has industrial facilities," according to the SEPI. Major decisions are made by a majority of the Council and no shareholder will have veto power. At present, the speaker of the council SEPI is the former Minister of Industry Josep Piqué.
The SEPI considers strategic permanence in this shareholders' agreement with France and Germany, "in order to continue to protect the interests of Spain in aerospace, especially its industrial capacity, workload and employment."
EADS has approximately 133,000 employees and a turnover of approximately 49,000 million. In Spain, the aerospace company employs a total of 11,000 people in its various facilities and factories located in Getafe (Madrid, Barajas, Four Winds), Andalucía (Sevilla and Cadiz) and Castilla-La Mancha (Illescas and Albacete).
