Telefónica will draw on the Frankfurt Stock Exchange 23.17% of its subsidiary in Germany at a price per share of between 5.25 and 6.50 euros, representing value it between 5863 and 7.259 million euros and the group keep Spanish a "large majority" in the capital.
In total, the Telefónica Group in the market place 258,750,000 shares, including 33.75 million titles to own reserved to the underwriters (greenshoe), said today the company to the National Securities Market (CNMV).
Telefónica explains that the midpoint of the indicative range of prices raises the value of the IPO offer to 1,520 million euros. At the higher price target range, and assuming you run the greenshoe, Telefónica would capture 1,681 million euros with the operation.
The offer includes a section aimed at institutional and retail investors in Germany and Luxembourg with private placements in certain jurisdictions outside Germany and Luxembourg.
The placement period during which interested investors can submit purchase applications begins on October 17, 2012 and end on October 29, 2012. The company plans to start trading on the stock market in Frankfurt (Prime Standard of the Frankfurt Stock Exchange) on October 30, 2012.
The Global Coordinators of the transaction are JP Morgan and UBS Investment Bank. BofA Merrill Lynch, BNP Paribas, Citigroup and HSBC acting as additional underwriters. Banca IMI, BayernLB, BBVA, Commerzbank, Banco Santander and Société Générale Corporate & Investment Banking completing the syndicate of banks participating in the operation.
"Our strong revenue growth in recent years, and the efficiency improvement initiatives have enabled us to increase cash generation, we will allocate to drive growth and provide attractive returns for shareholders," said René Schuster, head of Telefónica Germany, according to a press release issued by the company. "We believe we offer a compelling value proposition to investors and look forward to becoming a public company," he added.
"We hope the results of the third quarter of 2012 reflect the continued execution of our strategy. We are pleased with our performance in this period, which is in line with internal expectations. We hope to show good growth in several parameters, including a sustained growth in contract customers. Our mobile service revenues continue to grow, albeit at a slower pace than in previous quarters, in part because of the results, particularly solid, made in the third quarter of 2011. OIBDA estimate that continue to show strong growth, in line with previous quarters, "said the German government.
