The National Securities Market Commission (CNMV) has published its Annual Report on Corporate Governance of Ibex 35 companies for the year 2011. This study contains a detailed analysis of the salaries of the companies in the selective index. Last year the average pay for advice stood at EUR 7.5 million (5% more than in 2010). The stock supervisor stresses that this increase occurred "despite the general decline of the results" and attributed largely to the "increase in variable compensation of two companies."
Meanwhile, the average pay per director was of 522,000 euros (4.4% more than in 2010), bringing the remuneration of executive members to 2.4 million euros (2.2 million in 2010) by director.
At the end of 2011 the number of members of senior management in companies in the Dow stood at 482 (513 in 2010) and their average pay stood at 777,000 euros, representing an increase of 3.1% over the previous year. "On average the salaries of top management accounted for 2.6% of earnings, a percentage similar to that recorded in 2010," explains the CNMV.
One of the main novelties of this exercise in terms of good governance has been the incorporation into the legal system, through the Sustainable Economy Act of recommendations 40 (somenta the council to the board a report on the remuneration policy of the counselors) and 41 (detailing the salaries individually in memory). However, not yet published the Decree implementing the Law and the CNMV has not yet been able to adopt new models of corporate governance cancels report and remuneration report of the councils.

1) Brussels calls for the variable components of remuneration be linked to assessment criteria predetermined and measurable performance. The CNMV explains Ibex groups do follow this recommendation and said that the most important variable used to calculate the bonus is the profit before tax, adjusted for current and future risks and cost of capital.
2) The Commission also requests that the grant of shares as part of remuneration shall be made provided they have passed at least three years from the company's decision to grant this remuneration. "Overall, companies have not established Ibex deferral period recommended by the Commission (...) The financial institutions, sector-specific legislation, you have to defer for a period of at least three years a substantial portion of variable compensation "says the CNMV.
3) The Community authorities advise that in case of variable remuneration, compensation policies include limits. "Most companies do not disaggregate Ibex in its reports on compensation where they have set limits on variable pay. In some of the companies that have implemented these limits affect only the remuneration of executive directors," says the supervisor.
4) Europe calls for contractual arrangements exist to enable the company reclaim variable components of remuneration, when the payment was made without conditions to be fulfilled which was subject.
